Terms of Service

1. Agreement to Terms

By accessing or using SuitePortal ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.

These Terms apply to all users of the Service, including without limitation users who are browsers, vendors, customers, merchants, and contributors of content.

2. Description of Service

SuitePortal is a customer portal platform that integrates with NetSuite to provide your customers with access to their data, including orders, invoices, and other business information. The Service includes data synchronization, portal customization, and related features as described on our website.

3. Account Registration

To use our Service, you must:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others
  • Transmit any malicious code, viruses, or harmful data
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers
  • Use the Service for any illegal or unauthorized purpose
  • Impersonate any person or entity

5. NetSuite Integration

When you integrate SuitePortal with your NetSuite account, you grant us permission to access and synchronize data from your NetSuite instance. You are responsible for:

  • Maintaining valid NetSuite credentials and access
  • Ensuring you have the right to authorize us to access your NetSuite data
  • Configuring appropriate data access controls within NetSuite
  • Complying with NetSuite's terms of service

6. Payment Terms

If you purchase a paid subscription, you agree to pay all fees associated with your subscription plan. Fees are billed in advance on a recurring basis (monthly or annually) and are non-refundable except as required by law.

We reserve the right to change our pricing with 30 days' notice. Your continued use of the Service after a price change constitutes acceptance of the new pricing.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by SuitePortal and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of your data. By using the Service, you grant us a limited license to use, store, and process your data solely for the purpose of providing the Service to you.

8. Service Availability

We strive to provide reliable service but do not guarantee that the Service will be available at all times. The Service may be unavailable due to maintenance, updates, technical issues, or circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice.

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

You may terminate your account at any time by contacting us. Upon termination, your right to use the Service will cease immediately, and we may delete your account and data in accordance with our data retention policies.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUITEPORTAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

12. Indemnification

You agree to defend, indemnify, and hold harmless SuitePortal and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of the Service or violation of these Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which SuitePortal operates, without regard to its conflict of law provisions.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
